This Founding Member Agreement ("Agreement") is between you ("Therapist," "you," or "your") and Feel Validated, Inc. ("Feel Validated," "we," "us," or "our"). By participating in the Feel Validated founding member program, you agree to the terms below.

1. The Founding Member Program

The founding member program is an early-access period during which Feel Validated is building and refining its verified therapist directory. As a founding member, you will receive a profile on the directory at no cost during the founding period. The founding period begins on the date you join and continues until Feel Validated transitions to its standard pricing model, at which point you will be given advance notice and the option to continue under the new terms or remove your profile.

Joining as a founding member does not guarantee permanent placement on the Feel Validated directory. Continued listing during and after the founding period depends on the requirements described in this Agreement, including maintaining an active license in good standing, accurate professional information, and compliance with the verification process.

2. Profile Creation and Verification

Feel Validated will create your profile using publicly available information (such as your license status on the CA BBS website, your listings on professional directories, your practice website, and public certifying body databases) as well as any documentation you choose to provide (such as CE certificates, training records, or supervisor letters).

You will have the opportunity to review your profile before it goes live and to request corrections or changes at any time.

As a condition of maintaining a listing on Feel Validated, you agree to:

• Maintain an active, unrestricted license in your state of practice;
• Notify Feel Validated promptly of any material changes to your licensure status, credentials, or areas of practice;
• Provide honest, accurate information during the verification process; and
• Represent your credentials and experience to clients in a manner consistent with your verified profile.

3. Verification Levels

Areas of focus and training on your profile may carry different verification designations based on the evidence reviewed:

• Verified: Confirmed through an independent credentialing body's public database (e.g., EMDRIA directory, AASECT directory, state licensing board)
• Documented: Supported by documentation you have provided (e.g., certificates, transcripts, training records)
• Reviewed: Based on your professional history, resume, and narrative review, and consistent with your documented experience

Verification levels reflect our review at a point in time. We may update designations as additional evidence is provided or as credentialing databases are updated.

4. Practice Pledge

All therapists joining Feel Validated are asked to take the Feel Validated Practice Pledge. The pledges you choose to take are displayed on your profile. Feel Validated may revisit how the Practice Pledge is presented and applied during the founding period as we learn what best supports the integrity of the directory.

The Practice Pledge reflects the values that distinguish Feel Validated from other directories. Each pledge you take is a personal commitment, made publicly to the clients who will see your profile.

5. Profile Content Standards

Your profile is a public-facing representation of your clinical practice on Feel Validated. Profile content (including the personal bio, areas of focus, and any narrative descriptions) must:

• Comply with applicable federal, state, and local law, and with the professional and ethical obligations of your license;
• Accurately represent your credentials, training, scope of practice, and clinical experience;
• Be related to your clinical practice and the services you offer to clients.

Profile content may not include:

• Discriminatory, harassing, or hateful content directed at any person or group, including content that demeans individuals on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, or other protected characteristics;
• Content that misrepresents your credentials, training, scope of practice, or affiliation with Feel Validated;
• Content that demeans clients, colleagues, or other clinicians;
• Political, ideological, or commercial content unrelated to clinical practice;
• Content that would violate the Feel Validated Practice Pledge if you have taken the relevant pledge.

Feel Validated reserves the right to decline, edit, or remove profile content at its sole discretion, including content not specifically listed above that we determine is inconsistent with the purpose and values of the directory. Where possible, we will discuss content questions with you before making changes. If your content is declined or removed, you may contact jacob@feelvalidated.com to discuss.

6. Your Data and Privacy

Your personal and professional information is handled in accordance with our Privacy Policy. Key points for therapists:

• Your profile information (name, credentials, areas of focus, practice location, approach description, verification status) is public and visible to anyone who visits the directory.
• Credential documents you submit for verification are stored securely with access controls and are not publicly accessible.
• Credential documents are retained for the duration of your active listing. If you leave the directory, they are permanently deleted within 90 days.
• We do not share your personal information with third parties for marketing purposes.

7. Communications from Feel Validated

By participating in the founding member program, you agree to receive the following categories of email from Feel Validated:

Essential communications (required while you maintain a listing): account verification, profile review confirmations, document submission confirmations, license re-verification reminders, material updates to this Agreement, and platform security or service notices. You cannot opt out of these emails while you maintain an active listing, as they are necessary to operate the directory.

Founding member updates (default on; you may opt out at any time): periodic emails about product changes, design feedback requests, new features, founding member cohort communications, and Feel Validated milestones. Opting out does not affect your listing.

Marketing using your contact information: never. Feel Validated does not use the email address or phone number you provide during onboarding to market unrelated products or services, and does not share or sell your contact information to any third party for marketing purposes.

To opt out of founding member updates while remaining a listed therapist, email jacob@feelvalidated.com or use the unsubscribe link in any non-essential email. Your listing, profile, and access to essential communications remain unchanged.

8. Fees

During the founding member period, your listing on Feel Validated is free. When Feel Validated transitions to standard pricing, founding members will receive advance notice (at least 30 days) and will be offered founding member pricing that reflects their early participation and support. You will not be charged without your explicit consent.

9. Intellectual Property

Profile content (including biographical descriptions, area-of-focus descriptions, and verification summaries) is written by Feel Validated based on publicly available information and verified documentation. This content is the property of Feel Validated. However, you retain ownership of any documents, certificates, or materials you submit for verification purposes.

You may request corrections to profile content at any time. If you leave the directory, your profile content will be removed from public view.

10. No Guarantee of Referrals

Feel Validated is a directory and matching service. We do not guarantee any specific number of client referrals, inquiries, or views. Search results are generated by AI-assisted matching and are influenced by client queries, your areas of focus, location, and other profile factors. Placement in search results is not determined by payment or advertising.

11. Independent Practice

You are an independent practitioner. Nothing in this Agreement creates an employment, partnership, or agency relationship between you and Feel Validated. You are solely responsible for your clinical practice, including compliance with all applicable laws, ethical standards, licensing requirements, and professional obligations (including HIPAA, if applicable). Feel Validated does not supervise, direct, or control your clinical work.

12. Termination

You may leave the Feel Validated directory at any time by notifying us at jacob@feelvalidated.com. Upon termination:

• Your profile will be removed from the public directory within 7 business days.
• Your profile will be removed from the search index.
• Credential documents will be permanently deleted within 90 days.

Feel Validated may also remove a profile if we determine that the therapist's license has been revoked or restricted, that a Practice Pledge the therapist has taken has been materially violated, that profile content materially violates the standards in Section 5, or that information provided during verification was materially inaccurate.

13. Limitation of Liability

To the maximum extent permitted by law, Feel Validated shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the founding member program, including but not limited to any loss of clients, revenue, or professional reputation. Feel Validated's total liability under this Agreement shall not exceed the total fees paid by you to Feel Validated (which, during the founding period, is zero).

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Alameda County, California.

15. Changes to This Agreement

We may update this Agreement from time to time. Material changes will be communicated to founding members by email at least 30 days before taking effect. Your continued participation after changes take effect constitutes acceptance of the revised terms.
